TRESA, INC
QME Report Generation Platform
PLATFORM USER AGREEMENT
DRAFT v4.0 — CLICK-THROUGH REDLINE, NOT COUNSEL-REVIEWED. For Josh + counsel review (wayfinder ticket #325, map #320). Diff against beta_agreement_consolidated.md (v3.0, executed 2026-06-19). Changes: User → User throughout; Beta Period → Trial Period; acceptance by click at sign-up; the trial allocation and pricing deferred to the Service Pricing Addendum ([N] decided on #326); feedback made voluntary; notices and amendments adapted to accounts. Bracketed items are decided elsewhere. Not the operative text until counsel signs off.
This agreement covers your use of the Tresa platform, including platform access, the trial period, pricing, data security, and confidentiality.
Version 4.0-DRAFT | August 2026
OUR PRINCIPLES — FOR YOUR REFERENCE (NO SIGNATURE REQUIRED)
TRESA QME CONSTITUTION
This system exists to serve psychiatrists performing Qualified Medical Evaluator work — not to replace their judgment, but to eliminate the mechanical burden that stands between a thorough interview and a completed report. Every design decision flows from this purpose.
The Doctor Decides
This system proposes; the physician disposes. We never position AI-generated content as final. Every section requires human review before export. The physician’s signature means their judgment, not ours.
Clinical Reasoning Belongs to the Physician
The system assembles facts, organizes history, and drafts structured sections with high fidelity. But the Discussion — where clinical judgment meets medical-legal analysis — is where the physician’s expertise is irreplaceable. We measure success by how much time we free up for that thinking, not by how much of it we attempt to replace.
No Harm Through Hallucination
In medical-legal documentation, a fabricated detail can damage a patient’s case, expose a physician to liability, or corrupt the factual record. Hallucination is not a quality issue — it’s a safety issue. When in doubt, we exclude rather than include. We would rather produce an incomplete section than an inaccurate one.
The Transcript and Records Are Sacred — And They Have Limits
The interview transcript and submitted medical records are the system’s source of truth and its information boundary. Every factual claim in a generated report is traceable to these sources. We do not infer what wasn’t said, embellish, or fill gaps. What the physician observes in the room — affect, demeanor, body language, clinical impression — lives beyond the system’s reach. This is not a limitation to work around; it is why the physician’s review transforms a draft into a report.
Cite or Abstain
Every claim in a generated report points back to a specific transcript passage or record. If the system cannot identify the source, it flags the gap. Attribution is the mechanism by which we keep the promise above.
Respect the Evaluee
The person being evaluated has entrusted their story to this process. Their words deserve careful handling. We do not sensationalize, minimize, or editorialize their experience.
Transparency Over Polish
A rough draft that shows its work beats a polished draft that hides its sources. The system surfaces uncertainty, flags gaps, and makes its reasoning visible.
Evolve With Feedback
The physicians using this system understand QME work in ways the developers never will. Every edit a doctor makes is a signal. We track patterns, learn from them, and improve.
This system handles words that will appear in legal documents, influence treatment decisions, and affect people’s livelihoods. We build it like that matters — because it does.
PLATFORM USER AGREEMENT
This Platform User Agreement (“Agreement”) is entered into by and between Tresa, Inc., a Delaware Corporation (“Provider”) and the individual physician, or the entity on whose behalf the individual is authorized to accept, identified by the account under which this Agreement is accepted or by the signature block below (“User”), collectively the “Parties.” By clicking “I accept” (or a similar affirmative control) when creating a Platform account, User agrees to be bound by this Agreement, effective as of the date and time of that acceptance (the “Effective Date”). Where the Parties instead execute this Agreement by signature, the Effective Date is the date of last signature. An individual accepting on behalf of an entity represents that they have authority to bind it.
1. Platform and Trial Period
1.1 Platform Description
The Platform currently provides three integrated capabilities: (a) QME Report Generation — AI-assisted drafting of psychiatric qualified medical evaluator reports from interview transcripts, notes, and medical records; (b) Deposition Preparation — analysis of completed reports against California workers' compensation legal frameworks to identify potential vulnerabilities and likely areas of examination; and (c) Med-Legal Intelligence — a general query interface for questions about California workers' compensation legal frameworks, statutes, and case law. Provider may add, modify, or remove capabilities at any time without notice.
1.2 Access
Provider grants User a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for User’s own professional use in medical-legal evaluation work and for providing feedback, subject to this Agreement and the Service Pricing Addendum.
1.3 Trial Period and Pricing
The trial period begins on the Effective Date and continues until User has used the complimentary allocation below or Provider designates otherwise by notice (the “Trial Period”). During the Trial Period, User receives up to [N] complimentary cases, as set out in Provider’s then-current Service Pricing Addendum, together with access to the Platform’s review and checking capabilities as described there. Use beyond the complimentary allocation is charged at the per-case rates in the Service Pricing Addendum, which User accepts as part of this Agreement. Provider may extend the Trial Period or increase complimentary allocations by notice. In the event of any conflict between this Section 1.3 and the Service Pricing Addendum, the Service Pricing Addendum controls.
1.4 Pre-Release Nature
User acknowledges that the Platform is a pre-release version that may contain bugs, errors, and incomplete features. Features may be added, modified, or removed without notice. The Platform is not intended for production use without appropriate physician review and oversight.
2. Professional Obligations and Platform Limitations
2.1 Physician Review Required — Report Generation
CRITICAL: All reports generated by the Platform require thorough professional review before use. The Platform is an assistive tool and does not replace User’s independent medical judgment. User is solely responsible for the accuracy and completeness of any report submitted under User’s signature.
2.2 Not Legal Advice — Deposition Preparation and Intelligence
CRITICAL: The Deposition Preparation and Med-Legal Intelligence capabilities provide legal framework analysis and reasoning assistance only. They do not constitute legal advice, legal opinions, or attorney-client communications. Outputs from these capabilities identify potential areas of legal exposure based on loaded frameworks and should be used solely to inform User’s own preparation and professional judgment. User should consult a qualified California workers' compensation attorney regarding any specific legal questions arising from their practice or from any deposition proceeding. Provider is not a law firm and does not practice law.
2.3 Scope of AI Reasoning
The Platform's legal reasoning capabilities are grounded in California workers' compensation statutes and case law explicitly loaded into each session, including Labor Code §3208.3, §4628, §4660.1(c), and relevant WCAB decisions including Rolda, Escobedo/Benson, Almaraz/Guzman, Larsen v. Securitas, and Garza. The Platform does not access external legal databases, real-time case law updates, or jurisdiction-specific rules outside California workers' compensation. User is responsible for verifying that any legal framework cited by the Platform reflects current law and applies to the specific facts of their case.
2.4 Feedback
User agrees to use the Platform in good faith. Provider welcomes, and User is encouraged to provide, reports of bugs and errors, constructive feedback, and responses to surveys or feedback forms; feedback is voluntary. Users who elect the Feedback Partner tier described in the Service Pricing Addendum agree to the additional feedback commitments set out there in exchange for the pricing it provides.
2.5 Final Report Submission
User is encouraged, but not required, to provide Provider with the final physician-reviewed version of each report generated through the Platform. Where provided, final reports will be used solely for quality improvement purposes and handled in accordance with this Agreement's data security provisions. User may elect to participate in a feedback discount program under which sharing final reports entitles User to additional complimentary reports, as described in any applicable addendum. Participation in this program is entirely voluntary.
2.6 Compliance
User agrees to comply with all applicable laws, regulations, and professional standards, including the California Confidentiality of Medical Information Act (CMIA), California workers' compensation regulations, and applicable professional licensing requirements.
2.7 Regulatory Alignment
The Platform is designed to be consistent with current California workers' compensation requirements governing medical-legal report preparation, including Labor Code §4628 and 8 CCR §10606. The Platform functions as an assistive tool for organizing and drafting factual narrative content; all clinical conclusions, medical opinions, causation determinations, and impairment ratings remain the sole responsibility of the signing physician. This section does not constitute a warranty of regulatory compliance.
3. Data Security & Privacy
3.1 Scope
This section governs all information processed through the Platform, including audio files, transcripts, medical records, generated reports, deposition preparation sessions, and intelligence query sessions ("Platform Data"). Provider acts as a Service Provider processing data solely under User’s direction for the permitted purposes described in Section 1.1.
3.2 No Secondary Use
Provider shall not use Medical Information or Platform Data for any purpose other than providing the Platform services described herein, including marketing, analytics, research, or sale of data. Provider shall not disclose Medical Information to any third party except as expressly permitted herein.
3.3 AI Model Training Prohibition
Provider's AI subprocessors are contractually prohibited from using customer inputs to train AI models. Platform Data is processed solely to generate the requested output and is not retained by any AI provider for model improvement. Provider will update the subprocessor table in Section 3.5 if AI providers change and will notify User of any material changes to this prohibition.
3.4 Technical Safeguards
Provider implements: AES-256 encryption at rest for all stored data; TLS 1.2+ encryption in transit; role-based access control with physician-scoped data isolation and multi-factor authentication; comprehensive audit logging; and geographic restriction to continental United States (Google Cloud us-west1, AWS us-west-2).

Transcripts are retained solely to support physician review and report finalization during the active reporting period. Upon deletion, all data is permanently destroyed and is not recoverable.
3.7 Deposition and Intelligence Session Data
Deposition preparation and intelligence query sessions may include case-specific report content, legal framework analysis, and physician queries. This session data is treated as Medical Information under this Agreement. Session data is not shared with any third party and is deleted per the retention schedule in Section 3.6. Provider does not retain session content for purposes of improving AI models or building case databases without User’s explicit written consent.
3.8 Breach Notification
In the event of a breach of Medical Information security, Provider shall notify User within five (5) business days of discovery, including: the nature and scope of the breach, types of information involved, date or estimated date, steps taken to contain and remediate, and contact information for further inquiries.
3.9 Patient Authorization
User represents and warrants that appropriate patient authorization has been obtained prior to submitting any Medical Information to the Platform. Provider relies on this representation and does not independently verify authorization.
4. Confidentiality
4.1 Confidential Information
“Confidential Information” means all non-public information disclosed by either Party, including Platform features and functionality, technical documentation, pricing, business plans, software, source code, algorithms, and any information marked as confidential.
4.2 Obligations
Each Party agrees to: maintain strict confidence; not disclose to any third party without prior written consent; use solely for the purposes of this Agreement; limit access to those with a need to know who are bound by equivalent confidentiality obligations; and protect using at least the same degree of care as its own confidential information.
4.3 Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known prior to disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, with prompt notice to the disclosing party.
4.4 No Publicity
User shall not issue any press release, public announcement, or publicity regarding the Platform or use of the Platform without Provider’s prior written consent.
5. Intellectual Property
Provider retains all right, title, and interest in the Platform, including all report generation, deposition preparation, and intelligence capabilities. User grants Provider a perpetual, royalty-free license to use, modify, and incorporate any feedback into the Platform. User retains ownership of all medical records, transcripts, reports, and content uploaded to or generated through the Platform based on User’s patient data.
6. Disclaimers & Limitation of Liability
6.1 As-Is
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
6.2 No Medical Advice
The Platform is a documentation assistance tool. It does not provide medical advice, diagnosis, or treatment recommendations. Provider is not a healthcare provider and does not practice medicine. All medical decisions remain User’s sole responsibility.
6.3 No Legal Advice
The Platform's deposition preparation and intelligence capabilities are legal framework analysis tools only. They do not constitute legal advice, legal opinions, or attorney-client communications. Provider is not a law firm and does not practice law. User should consult a qualified California workers' compensation attorney for legal advice specific to their situation.
6.4 Legal Framework Currency
The Platform's legal reasoning is based on California workers' compensation statutes and case law as of the Platform's last framework update. Provider does not warrant that the legal frameworks loaded into the Platform reflect the most current state of the law. User is responsible for verifying currency of any legal authority cited.
6.5 Limitation of Liability
PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. PROVIDER'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY USER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
6.6 Indemnification
User agrees to indemnify and hold harmless Provider from claims arising from: User’s use of the Platform; breach of this Agreement; violation of applicable law; any report submitted under User’s signature; reliance on deposition preparation or intelligence outputs without independent professional review; or any claim by a patient, employer, insurer, attorney, or other third party related to User’s QME evaluations or deposition testimony.
7. Term & Termination
Either Party may terminate at any time with written notice. Provider may terminate immediately upon material breach. Upon termination: access will be revoked, User shall cease use and return or destroy Confidential Information. Sections 3, 4, 5, 6, and this Section 7 survive termination. Confidentiality obligations survive for three (3) years; trade secret obligations continue as long as the information qualifies as a trade secret.
8. General Provisions
Governing Law: State of California. Dispute Resolution: Binding arbitration in Los Angeles County per JAMS rules. This Agreement, together with the Service Pricing Addendum, constitutes the entire agreement between the Parties and supersedes all prior agreements. May only be amended in writing signed by both Parties, except that Provider may publish an updated version of this Agreement or the Service Pricing Addendum, which becomes effective for User upon User’s affirmative acceptance of the updated version. If any provision is held invalid, remaining provisions continue in full force. Neither Party may assign without consent, except to a successor in a merger or acquisition. All notices shall be in writing by email: to User at the email address associated with User’s Platform account, and to Provider at the notice address published on Provider’s website. Electronic Acceptance: User’s acceptance of this Agreement by clicking an affirmative control constitutes an electronic signature with the same force and effect as a manual signature; Provider’s record of that acceptance (the version accepted, the account, and the date and time) is admissible evidence of this Agreement; no countersignature by Provider is required for an Agreement accepted electronically.
ACCEPTANCE
Accepted electronically on the Effective Date by the User account recorded by Provider; or, where signed:
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
